By Laws of Stevens Creek Striders Running Club
Name
- The name of the club shall be "The Stevens Creek
Striders".
Objectives
- To promote running activities for sport, recreation, and health.
- To organize individuals interested in running.
- To promote fellowship and competition among the running community.
- To provide leadership and guidance among all runners for orderly and
safe participation in the sport.
Membership
- Membership shall be unlimited in number.
- A member is any person who shall have paid the annual dues and who
supports the interests and objectives of the club.
- Each member shall be entitled to one vote on each issue submitted to
a vote of the general membership.
- The period of membership is from 1 July to 30 June.
- Members will abide by and respect all rules pertaining to trail usage, including all designated signs and posted regulations, during any and all club runs and functions
General Meetings
- There shall be one general meeting each year for the purpose of
electing the Board of Directors. This meeting will be scheduled
for the third Monday in May.
- The place and time of general meetings will be determined by the
Board of Directors and the membership notified by written
announcement.
- A majority of members voting on an issue is required to pass the
issue.
Board of Directors
- The Board of Directors shall consist of seven members.
- The Board of Directors shall be responsible for managing the affairs
of the club.
- The Board shall
- appoint members of the Board to serve as president,
vice-president, secretary, and treasurer
- establish a framework for executing club activities
- provide for maintaining a current membership roster
- approve and authorize expenditures
- The Board shall establish committees and appoint chairpersons as
deemed necessary
- The President shall, in general,
supervise all of the business and affairs of the club and preside at
all meeting of the members and the Board of Directors. The
President shall, in general, perform all duties incident to the Office
of President and such other duties as may be prescribed by the Board
of Directors from time to time.
- The Vice-President shall, in general,
in the absence of the President, perform the duties of the President
and, when so acting, shall have all the powers of and be subject to
the restrictions upon the President. The Vice-President shall
perform such other duties as may be prescribed by the Board from time
to time.
- The Secretary shall
- take the minutes of all meetings called by the Board;
- provide a summary of Board and General meetings to the
newsletter director;
- handle all correspondence of the club; and
- perform such other duties as prescribed by the Board from time
to time.
- The Treasurer shall
- provide for collection, disbursement, and accounting of club
funds;
- make available for review by club members receipts and a record
of all expenditures;
- publish a semi-annual financial report in the newsletter; and
- perform such other duties as prescribed by the Board from time
to time.
Board Meetings
- The Board shall meet at least once a month at a time and place to be
determined by the Board and announced to the membership. One
meeting each month shall occur on the third Monday of the month.
- A majority of Board members or their designated substitutes
constitute a quorum at Board meetings. A majority of that quorum
is required to pass a measure.
- All formal Board meetings are open to the general membership.
- Each Board member or substitute is entitled to one vote on each
issue submitted to a vote of the Board.
Election and Term-of-Office of the Board
of Directors
- Members of the Board of Directors shall be elected by a vote of the
general membership for a term of one year. The term shall run
from 1 July to 30 June.
- A slate of willing candidates shall be established from written
nominations submitted to a member or representative of the Board.
- A vote by secret ballot shall be held on the first and second
Saturdays in June.
Vacancies
- The Board shall fill any vacancy occurring on the Board during the
current term by appointment from the general membership.
Amendments to the By-Laws
- The Board of Directors shall propose changes to these By-Laws as
deemed necessary. These changes shall become part of these
By-Laws when adopted by a majority vote of the general membership
present at any general meeting if at least 15 days written notice is
given of intention to change the By-Laws as such meeting.
